In the event Stallion Shop no longer has available Semen from Stallion at the time it receives Customer’s documentation, Stallion Shop will notify Customer and provide Customer with a refund of the Breeding Fee. Shipment fees are non-refundable. Stallion Shop’s obligations pursuant to this section apply only to the Subsequent Breeding Season. If Customer does not request that Stallion Shop ship Semen during the Subsequent Breeding Season or if the Mare does not give birth to a Live Foal as a result of being inseminated with Semen during the Subsequent Breeding Season, Stallion Shop has no further obligation to Customer and Customer is not entitled to any further Semen shipment or any refund of any kind.

Risks of Frozen Semen Shipment: Customer understands shipping any frozen equine semen, including Semen, is inherently risky. The shipping container and/or packaging may become damaged or fail, causing semen to thaw, leak or otherwise become unusable. Semen shipments may be delayed, misrouted or lost due to human error, weather conditions, acts of God or other reasons, resulting in the total loss of semen. Customer expressly assumes all risks of having Semen shipped pursuant to this Agreement, including the risk Stallion Shop or others may be negligent. Accordingly, Customer agrees to hold the following parties harmless for loss of Semen or degradation in quality of Semen due to any cause whatsoever, including but not limited to breach of any warranty of merchantability or fitness for a particular purpose: Stallion Shop and its managers, members, employees, customers and agents (collectively, “Released Parties”).

Shipment Fees: For each shipment of Semen pursuant to this Agreement, Customer agrees to pay Stallion Shop a shipment fee of $400.00. Stallion Shop has no duty to ship Semen until such shipment fee is paid in full. All shipment fees are non-refundable.

Return of Shipping Container: Customer is solely responsible for ensuring that semen shipping containers are returned clean and in good condition to Vista Equine Colorado, LLC at the address below within 72 hours after receipt of Semen by Recipient. If Vista Equine Colorado does not receive the returned container within 72 hours, Stallion Shop will charge Customer a fee of $25/day until Vista Equine Colorado receives the returned container. If any container is lost or damaged, Customer agrees to pay Stallion Shop $1,500 per lost or damaged container. All fees for Semen purchase and shipment are due and payable in full prior to shipment. Stallion Shop reserves the right not to fulfill any shipment request until it receives payment in full for such services, and Customer agrees that Stallion Shop is not responsible for any adverse consequences associated with delay in shipment or failure to ship, including but not limited to Semen not being available when needed to breed Mares. All other fees incurred pursuant to this Agreement are due within 10 days of Customer’s receipt of an invoice from Stallion Shop.
